JustDidIt Japan LLC ("JDIJ", "we", "our", or "us") provides Cards of Heroes subject to the following terms. By accessing or using our services, you agree to these Terms of Service. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. Use of Services

You may use our services only if you are 18 years of age or older and capable of forming a binding contract. You agree to use our services in compliance with all applicable laws and these terms. We reserve the right to refuse service to anyone at any time for any reason.

2. Account

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. JDIJ shall not be liable for any loss or damage arising from your failure to maintain account security.

3. Subscriptions and Payments

Certain features require a paid subscription. All fees are non-refundable except as expressly required by applicable law. We reserve the right to change pricing at any time with or without notice. Failure to pay may result in immediate suspension or termination of access without liability to JDIJ.

4. Intellectual Property

All content, features, and functionality of our services are and remain the exclusive property of JDIJ or its licensors. Any unauthorized use, reproduction, modification, distribution, or reverse engineering is strictly prohibited and may result in legal action.

5. User Content

You retain ownership of content you submit. By submitting content, you grant JDIJ a worldwide, royalty-free, perpetual, irrevocable license to use, process, display, and derive insights from that content to operate and improve our services. You represent and warrant that your content does not infringe any third-party rights.

6. No Professional Advice; AI-Generated Content Disclaimer

The content, checklists, recommendations, and any other output generated through our services, including output produced by artificial intelligence ("AI-Generated Content"), is provided for informational purposes only and does not constitute professional advice of any kind.

AI-Generated Content may be inaccurate, incomplete, outdated, or unsuitable for your specific situation. JDIJ does not review, verify, or guarantee the accuracy, reliability, or fitness of any AI-Generated Content.

AI-Generated Content does not constitute and shall not be construed as legal, financial, accounting, tax, regulatory, or any other form of professional advice. You should not act on any AI-Generated Content without first seeking qualified professional advice appropriate to your specific circumstances.

JDIJ expressly disclaims all liability arising from or related to your reliance on AI-Generated Content. Your use of AI-Generated Content is entirely at your own risk.

7. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Your use of our services is entirely at your own risk.

8. Limitation of Liability

To the maximum extent permitted by applicable law, JDIJ and its officers, directors, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from or related to your use of or inability to use our services, even if advised of the possibility of such damages.

In no event shall JDIJ's total cumulative liability to you for all claims arising from or related to these terms or our services exceed the greater of (a) the amount you paid to JDIJ in the twelve (12) months preceding the claim, or (b) one hundred dollars (USD $100).

9. Indemnification

You agree to indemnify, defend, and hold harmless JDIJ and its officers, directors, employees, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to our services; (b) your violation of these terms; (c) your violation of any third-party rights; or (d) any content you submit through our services.

10. Termination

We reserve the right to suspend or terminate your access to our services at any time, for any reason or no reason, with or without notice, without liability to JDIJ. Upon termination, all licenses granted to you immediately cease.

11. Dispute Resolution and Arbitration

Any dispute arising from or related to these terms or our services shall be resolved exclusively by binding individual arbitration under the rules of the American Arbitration Association, conducted in Delaware. You waive any right to participate in class action lawsuits or class-wide arbitration.

12. Governing Law

These terms are governed exclusively by the laws of the State of Delaware, without regard to conflict of law provisions. You consent to exclusive jurisdiction in the courts of Delaware for any matters not subject to arbitration.

13. Severability and Entire Agreement

If any provision of these terms is found unenforceable, the remaining provisions shall remain in full force and effect. These terms constitute the entire agreement between you and JDIJ regarding our services and supersede all prior agreements.

14. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes are posted constitutes your acceptance of the updated terms. It is your responsibility to review these terms periodically.
